Pandala Suite – Terms of Use

Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Pandala Suite, including all associated digital services, platforms, portals, tools, documentation, and managed service interfaces provided by Pandala (“we”, “us”, “our”).

By accessing or using any part of the Pandala Suite, you agree to be bound by these Terms. If you do not agree, you must not use the Pandala Suite.


1. About Pandala

Pandala is a UK-based Managed IT Services Provider delivering cloud, digital, security, and Microsoft 365–related services to businesses.

Some services within the Pandala Suite integrate with or rely upon third-party platforms, including (but not limited to) Microsoft 365, cloud hosting providers, security vendors, and backup services.


2. Scope of the Pandala Suite

The Pandala Suite may include:

  • Microsoft 365 administration, configuration, and support
  • Email, collaboration, and identity management services
  • Cloud services and integrations
  • Cyber security, monitoring, and endpoint protection
  • Backup, disaster recovery, and continuity tooling
  • Service desk, ticketing, and client portals
  • Digital and operational tooling provided to clients

Specific services, service levels, and responsibilities are defined separately in:

  • Your Managed Services Agreement (MSA)
  • Applicable Service Schedules / Order Forms
  • Any agreed Statements of Work (SoW)

These Terms sit alongside, not instead of, those documents.


3. Acceptable Use

You agree to use the Pandala Suite:

  • Only for lawful business purposes
  • In accordance with all applicable UK laws and regulations
  • In line with security and acceptable use guidance provided by Pandala

You must not:

  • Attempt to gain unauthorised access to systems or data
  • Interfere with platform availability or security
  • Use the services to distribute malware, spam, or unlawful content
  • Circumvent licensing, security controls, or access restrictions

We reserve the right to suspend or restrict access where misuse is identified.


4. Microsoft 365 & Third-Party Services

Where the Pandala Suite interacts with Microsoft 365 or other third-party platforms:

  • You acknowledge that those platforms are governed by their own terms
  • Pandala does not own or control Microsoft or third-party infrastructure
  • Service availability may be impacted by third-party outages or changes

Licensing remains subject to the terms of the relevant vendor (e.g. Microsoft).


5. Data Protection & Privacy

Pandala processes data in accordance with UK GDPR and the Data Protection Act 2018.

  • Client data is handled only for legitimate service delivery purposes
  • Appropriate technical and organisational security measures are applied
  • Full details are set out in our Privacy Policy

You are responsible for ensuring you have lawful authority to provide any data processed through the Pandala Suite.


6. Security Responsibilities

While Pandala implements security best practices, shared responsibility applies.

You are responsible for:

  • User behaviour and access management within your organisation
  • Following security guidance provided by Pandala
  • Promptly reporting suspected security incidents

Pandala is not responsible for breaches caused by client negligence, weak credentials, or failure to follow guidance.


7. Service Availability

We aim to maintain reliable access to the Pandala Suite but do not guarantee uninterrupted availability.

Access may be affected by:

  • Maintenance windows
  • Third-party outages
  • Security incidents
  • Force majeure events

Service level commitments (where applicable) are defined in your MSA or Service Schedule.


8. Intellectual Property

All intellectual property rights relating to the Pandala Suite (excluding third-party platforms and client-owned data) remain the property of Pandala.

You are granted a non-exclusive, non-transferable right to use the Pandala Suite solely for your internal business operations.


9. Limitation of Liability

To the fullest extent permitted by law:

  • Pandala is not liable for indirect or consequential losses
  • Liability arising from use of the Pandala Suite is limited as set out in your MSA
  • Nothing in these Terms limits liability for death, personal injury, or fraud

10. Suspension & Termination

Pandala may suspend or terminate access to the Pandala Suite where:

  • These Terms are breached
  • Non-payment occurs
  • Continued use presents security or legal risk

Termination of services is governed by your contractual agreements.


11. Changes to These Terms

We may update these Terms from time to time.
Material changes will be communicated where appropriate.

Continued use of the Pandala Suite constitutes acceptance of updated Terms.


12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
